1) Who we are
Udoma Ltd (“Udoma”, “we”, “us”, “our”). Registered in England & Wales 16629665. Registered address: 85 Great Portland Street, First Floor, London, England, W1W 7LT. Contact: hello@theudoma.com.
These Terms govern: (A) website use; (B) accommodation bookings and stays; (C) landlord services.
2) Key definitions
- Site: theudoma.com and subdomains.
- Accommodation: apartments or rooms we operate or manage.
- Guest: person making or using a booking.
- Landlord: property owner or authorised controller engaging Udoma.
- Platform Booking: booking made via a third-party platform (e.g., Airbnb). Platform terms apply first; these Terms fill gaps or where we are allowed to set house rules.
3) Eligibility and ID
You must be 18+ and able to enter a contract. We may require identity and payment verification (e.g., passport, proof of address, right-to-rent where applicable). Bookings are subject to screening.
4) Booking process
- A booking is confirmed only after we issue written confirmation and receive required payment and ID.
- For Platform Bookings, the platform’s confirmation and payment rules apply.
- We may refuse or cancel a booking for fraud prevention, safety, or breach of these Terms; prepaid sums are refunded unless you are at fault.
5) Prices, fees, deposits
- Prices are shown per stay and include [VAT rate if applicable]. Cleaning or other fees are disclosed at checkout.
- A security deposit or card pre-authorisation may be required. We may deduct amounts for damage, missing items, excessive cleaning, rule breaches, or unpaid charges (e.g., late checkout). Itemised statements provided on request.
6) Payments
- Website payments are processed by approved payment providers; we do not store full card details.
- Invoices are issued on request. Late payments may incur interest under the Late Payment of Commercial Debts Act.
7) Cancellations and changes
- Flexible (example): cancel ≥14 days before check-in: full refund; 13–7 days: 50%; <7 days or no-show: no refund.
- Platform Bookings: follow the platform’s policy shown at booking.
- Date changes are subject to availability and any price difference.
- If we must cancel, we refund all amounts paid to us for unused nights and, where reasonable, try to relocate you; this is your sole remedy.
8) Check-in/out and use
- Check-in: from 15:00. Check-out: by 11:00.
- No parties, events, smoking, or illegal activity are allowed. Fees apply.
- No unauthorised guests. Fees apply.
- Quiet hours are from 22:00 until 08:00.
- Use Accommodation for residential purposes only. No business use that breaches lease, insurance, or planning rules.
- Keep keys/fobs safe; replacement fee applies. Lost access devices may require lock/fob reprogramming at cost.
9) Condition, cleaning, and maintenance
- Keep the Accommodation clean and ventilated; report issues promptly.
- We may enter on reasonable notice for maintenance, compliance checks, or emergencies.
- Mid-stay cleans or linen changes are provided only if stated in your booking or purchased as extras.
10) Damage and liability
- You are responsible for damage or loss caused by you or your invitees. Tell us immediately; costs may include contractor call-outs and admin at £55/hour where reasonable.
- Liability cap: to the maximum permitted by law, our total liability relating to your booking is limited to the amount paid to us for the affected booking, except for death or personal injury caused by our negligence, fraud, or any liability that cannot legally be limited.
11) Safety and compliance
- Follow building rules, fire safety guidance, and appliance instructions. Do not tamper with safety equipment.
- Some buildings have CCTV in common areas managed by the building; see our Privacy Policy.
12) Utilities and fair use
Reasonable use of utilities is included unless stated otherwise. Excessive use, unauthorised heaters/AC units, or tampering with thermostats/meters may be charged.
13) Mail and belongings
We do not accept responsibility for mail or parcels unless agreed in writing. Left items are kept for [30] days; shipping at your cost.
14) Pets
Pets only with prior written approval and any additional fee/deposit. Assistance dogs are accommodated as required by law.
15) Overstays
Unauthorised late checkout or overstay may be charged at the daily rate plus costs and may be treated as trespass.
16) Events beyond our control
We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). If performance is materially affected, we may offer a change of dates or refund for unused nights.
17) Website terms (use of the Site)
- Content is provided “as is”. We try to keep it accurate and available but do not guarantee it.
- Do not scrape, reverse engineer, or misuse the Site.
- All intellectual property on the Site belongs to us or our licensors. You may not copy or reuse without permission.
- Links to third-party sites are provided for convenience; their terms and privacy policies apply there.
18) Landlord services (summary)
- Separate written terms (Management/Guaranteed Rent/Let-Only) apply and prevail.
- Landlords warrant authority to let, compliance with planning, mortgage, superior lease and insurance; provide valid gas/electrical/fire safety certificates; and disclose known defects and material facts.
- Udoma may carry out guest vetting, booking management, and property care within agreed budgets. Fees and payout schedules are set in the service agreement.
19) Data protection
We process personal data under our Privacy Policy and Cookie Notice. By using the Site or booking, you acknowledge those documents.
20) Complaints
Raise issues during your stay so we can fix them. Formal complaints: hello@theudoma.com. We aim to respond within 5 working days. If unresolved, you may seek alternative dispute resolution or legal remedies.
21) Notices
We communicate by email or platform messaging. Legal notices to Udoma: hello@theudoma.com or the registered address.
22) Assignment
We may assign or transfer our rights/obligations to an affiliate or purchaser. You may not assign without our consent.
23) Severability and waiver
If a clause is invalid, the rest remains effective. Failure to enforce is not a waiver.
24) Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except that consumers resident elsewhere in the UK/EU may benefit from mandatory local protections.
25) Changes to these Terms
We may update these Terms. The latest version is posted on the Site with the “Last updated” date. Material changes will be notified by email/banner before they take effect for future bookings.
